These Terms of Use ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and TDS Desk ("Company," "we," "us," or "our") governing your access to and use of the website at www.tdsdesk.in ("Website"), the TDS Desk software application ("Software"), and all related services, tools, and content (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you must immediately cease using the Services.
You must be at least 18 years of age and legally capable of entering into a binding agreement to use the Services. By using the Services, you represent and warrant that you meet these eligibility requirements. If you are using the Services on behalf of a business entity, you represent that you have the authority to bind that entity to these Terms.
To access certain features, you may be required to create an account. You agree to: (a) provide accurate, current, and complete information; (b) maintain and promptly update your information; (c) maintain the security of your password and account; (d) accept responsibility for all activities that occur under your account; (e) immediately notify us of any unauthorized use. We reserve the right to suspend or terminate accounts that contain inaccurate information or that violate these Terms.
3.1 License: Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes.
3.2 Restrictions: You shall not: (a) copy, modify, distribute, sell, lease, sublicense, or create derivative works of the Software; (b) reverse engineer, decompile, disassemble, or attempt to derive the source code; (c) circumvent or disable any security or access control features; (d) use the Services for any unlawful purpose or in violation of any applicable law; (e) use automated scripts, bots, or scrapers to access the Services; (f) interfere with or disrupt the integrity or performance of the Services; (g) impersonate any person or entity; (h) use the Services to store or transmit malicious code; (i) share, resell, or redistribute the Services to third parties without authorization.
All content, features, functionality, trademarks, trade names, logos, designs, code, algorithms, and technology comprising the Services are owned by TDS Desk or its licensors and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws. Nothing in these Terms grants you any right, title, or interest in such intellectual property except the limited license in Section 3. "TDS Desk," the TDS Desk logo, and "Ask Diya" are trademarks of the Company.
5.1 Your Data: You retain ownership of all data, content, and materials you submit through the Services ("User Data"). By using the Services, you grant TDS Desk a limited, non-exclusive license to process, store, and transmit your User Data solely to provide and improve the Services.
5.2 Responsibility: You are solely responsible for the accuracy, quality, integrity, legality, reliability, and appropriateness of all User Data. TDS Desk is not responsible for any errors, inaccuracies, or illegal content in User Data.
5.3 Data Processing: We process User Data in accordance with our Privacy Policy. By using the Services, you consent to such processing.
6.1 Pricing: When the Software launches commercially, access may require a paid subscription. Pricing, plans, and features will be published on the Website. All prices are in Indian Rupees (INR) unless stated otherwise and are exclusive of applicable taxes.
6.2 Billing: Subscription fees are billed in advance on a periodic basis (monthly, quarterly, or annually) as selected. You authorize us to charge your designated payment method for all applicable fees.
6.3 Auto-Renewal: Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You may cancel your subscription at any time through your account settings.
6.4 No Obligation: Waitlist registration does not create any payment obligation. Commercial terms will be communicated separately at the time of product launch.

In summary: TDS Desk shall not be liable for any damages arising from your use of the Services, including but not limited to errors in calculations, missed deadlines, penalties, data loss, or any tax liability. The maximum aggregate liability is limited to the lesser of ₹100 or the fees paid by you in the 12 months preceding the claim.
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. We do not warrant that the Services will be uninterrupted, error-free, secure, or meet your specific requirements. See our Disclaimer for full details.
You agree to indemnify, defend, and hold harmless TDS Desk and its officers, directors, employees, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms, your use of the Services, or any User Data you submit.
10.1 By You: You may terminate your account at any time by contacting us or through account settings (when available). Termination does not entitle you to a refund of any prepaid fees.
10.2 By Us: We reserve the right to suspend or terminate your access to the Services at any time, with or without cause, with or without notice, including for violation of these Terms. Upon termination, your right to use the Services immediately ceases.
10.3 Survival: Sections relating to intellectual property, limitation of liability, indemnification, governing law, and any other provisions that by their nature should survive, shall survive termination.
We reserve the right to modify these Terms at any time. Changes will be posted on this page. Continued use after changes constitutes acceptance. We also reserve the right to modify, suspend, or discontinue any part of the Services at any time without liability.
TDS Desk shall not be liable for any failure or delay in performing its obligations where such failure or delay results from circumstances beyond its reasonable control, including but not limited to: natural disasters, war, terrorism, pandemic, government action, power failure, internet disruption, server failure, or third-party service outages.
13.1 Governing Law: These Terms are governed by the laws of India.
13.2 Arbitration: Any dispute arising from these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, the dispute shall be referred to binding arbitration in Chennai, Tamil Nadu, India, conducted by a sole arbitrator under the Arbitration and Conciliation Act, 1996.
13.3 Jurisdiction: Subject to the arbitration clause, the courts of Chennai, Tamil Nadu, India shall have exclusive jurisdiction.
13.4 Class Action Waiver: You agree that any proceedings to resolve disputes will be conducted only on an individual basis and not in a class, consolidated, or representative action.
14.1 Entire Agreement: These Terms, together with the Privacy Policy, Disclaimer, and Refund Policy, constitute the entire agreement between you and TDS Desk.
14.2 Severability: If any provision is found invalid, the remaining provisions remain in effect.
14.3 Waiver: Failure to enforce any provision does not constitute a waiver.
14.4 Assignment: You may not assign these Terms without our consent. We may assign without restriction.
14.5 Notices: Notices may be provided via email, Website posting, or in-app notifications.
